Welcome to CDTC (CAD Design Training Center). These Terms & Conditions (“Terms”) govern the association between CDTC and its Contributors / Founding Members (“you”). By checking the box during onboarding, you confirm that you have read, understood, and agreed to these Terms.
1.1 You are joining CDTC as a Contributor/Founding Member, not as a salaried employee at this stage.
1.2 Your decision to join is based on your own interest and belief in the Company’s mission and vision.
1.3 No one is forced, compelled, or pressured to become a part of CDTC. Your association is self-driven and voluntary in intent.
2.1 CDTC is in its startup phase, and therefore, contributors will not receive salary, wages, or benefits until the Company achieves the following milestone:
A minimum profit of ₹10 lakhs (ten lakhs INR) AND
A minimum revenue of ₹25 lakhs (twenty-five lakhs INR).
2.2 Once these financial milestones are achieved, contributors will be considered for salary, stipends, or full-time roles, based on performance, contribution, and the Company’s requirements.
2.3 Contributors will be given priority consideration for full-time employment opportunities before external hiring.
3.1 Contributors are expected to dedicate time and skills after their regular office hours or as mutually agreed.
3.2 All work should be done with professionalism, honesty, and diligence.
3.3 CDTC provides resources and direction, but each Contributor is individually responsible for their actions, tasks, and deliverables.
3.4 CDTC shall not be held liable for any mistakes, negligence, or personal misconduct by contributors that cause financial, operational, or reputational loss.
4.1 Ownership of Work
All work, designs, training modules, presentations, CAD files, codes, marketing content, documents, reports, and any other materials (“Work”) created, developed, or contributed by members while associated with CDTC are considered the exclusive property of CDTC.
Contributors acknowledge and agree that they have no ownership rights over such Work, regardless of whether it was created during official working hours, after-hours, or using personal resources.
4.2 Assignment of Rights
By participating in CDTC, contributors automatically assign, transfer, and grant to CDTC all rights, titles, and interests in any Work they produce for the Company.
This includes copyright, design rights, patents, trademarks, trade secrets, know-how, and any other intellectual property rights worldwide, whether registered or unregistered.
4.3 Use Restrictions
Contributors shall not use, reproduce, distribute, sell, or modify any CDTC property for personal, academic, or commercial purposes outside the Company without written permission from the management.
Any attempt to use company IP for personal gain, competition, or disclosure to third parties will be treated as a serious breach of these Terms and may result in legal action.
4.4 Moral Rights Waiver
Contributors waive any claim to be identified as the author/creator of any Work created for CDTC.
All credit, authorship, and recognition remain solely with CDTC.
4.5 Third-Party Content
If a contributor uses third-party material (e.g., images, software, templates, CAD models, etc.), they must ensure they have the legal rights and proper licenses to use it.
CDTC will not be responsible for any legal claims arising due to misuse of third-party intellectual property by contributors.
4.6 Continuity After Exit
Even if a contributor leaves CDTC, resigns, or stops participating, all IP created during their association remains with CDTC permanently.
They are not allowed to copy, carry, or replicate any company content for personal or professional use post-association.
5.1 Contributors must maintain respect, discipline, and professionalism while working with team members, trainers, and external partners.
5.2 Misconduct, breach of trust, or repeated negligence may result in immediate termination of association.
6.1 Contributors may not engage in any activities that directly compete with CDTC during their association.
6.2 Contributors are not permitted to approach CDTC’s clients, students, or partners for personal gain or competitive purposes.
7.1 CDTC provides direction and support but does not control each Contributor’s independent decisions.
7.2 Therefore, CDTC shall not be held responsible for any errors, negligence, misconduct, or personal actions of contributors.
7.3 Contributors agree to take full accountability for their work and behavior during their association with CDTC.
8.1 Contributors may exit at any time by notifying the Company.
8.2 CDTC also reserves the right to discontinue a Contributor’s association in case of misconduct, breach of trust, or violation of these Terms.
9.1 CDTC may revise these Terms from time to time.
9.2 Continued association after updates will imply acceptance of the revised Terms.
These Terms are governed by the laws of India, under the jurisdiction of courts located in Bangalore, Karnataka.
